Bumble, the dating app that Whitney Wolfe Herd founded in 2014, seems headed off the public market. In a Business Wire release dated October 13, the company said it “entered into a definitive agreement to be acquired by Ithaca Holdings” in an all-cash transaction valuing it at $1.3 billion. Its Form 8-K, filed with the SEC the same day, dates the merger agreement to October 12 and names the buyer entity Ithaca Holdco, Inc. The BBC, which converts the price to £980m, ran the story under the headline “Bumble bought for $1.3bn,” but the filing describes a pending merger that still needs to close. The BBC story page shows a first publication time of 02:36 BST on October 13 (6:36 p.m. PT Monday), the earliest report this desk saved. Reuters, in a story carried by The Economic Times and DealStreetAsia, and TechCrunch also report the $1.3 billion value. The release says Bumble expects to remain based in Austin, Texas, with offices in London, Austin and New York City.
Under the terms, Bumble says, holders of its Class A common stock would receive $6.05 a share in cash, which the company calls “an approximately 138% premium” to the unaffected closing price on October 9, 2026, and a premium of about 119% to the 30-day volume-weighted average price as of that date. The 8-K adds that each Class B share converts into the right to receive $0.000001, and that shares covered by a rollover do not get cashed out. Reuters measures the premium against a different baseline: 122.4% above the June 24 close, “a day before Reuters first reported the company was exploring a sale.” Each figure uses its own starting price, so this desk lists both rather than picking one. Reuters adds that it and other outlets reported advanced talks on Monday at a valuation of roughly $1 billion, below the $1.3 billion the companies announced a day later.
Ithaca describes itself in the release as “a holding company for enduring, market-leading technology businesses,” with a mission to apply “frontier technology to renew and accelerate businesses that enrich people’s lives and create lasting value in a world transformed by AI.” Reuters instead calls it a “private equity firm”; this desk uses Ithaca’s own description and flags the gap. Upon closing, Ithaca co-founders and co-CEOs Ravi Gupta and John Hegeman would become co-CEOs of Bumble and would “partner closely with Ms. Wolfe Herd,” the release says. In a joint statement, Gupta and Hegeman said: “Technology should work in service of our deepest source of fulfillment, human connection, and this investment is a bet on the future of humanity.” The BBC carries the same line without the comma after “connection.” Wolfe Herd, Bumble’s founder and chief executive, said in the release: “That is why I will remain actively involved with Bumble.” The BBC adds that her role at the app after the deal remains unclear, though she said she would work closely with the new owners.
An independent Special Committee of Bumble’s board, advised by independent legal and financial advisers, weighed “a range of strategic alternatives” and recommended the Ithaca offer, the release says; the full board then approved it unanimously, “excluding Whitney Wolfe Herd who recused herself from the Board’s deliberations and voting on the matter.” After the signing, affiliates of Blackstone and Wolfe Herd approved the transaction by written consent, “providing the requisite shareholder approval for the transaction,” according to the release. That route seems to leave public holders without a vote; the 8-K says Bumble will mail an information statement under Schedule 14C instead. Board chair Ann Mather, who also chairs the Special Committee, said the committee determined “that this transaction with Ithaca represents the best outcome for our shareholders.” Goldman Sachs and Morgan Stanley advised the committee, with Davis Polk & Wardwell as its counsel, and Kirkland & Ellis advised Ithaca, the release says.
The 8-K sets out further terms. Either side may terminate the agreement if the merger fails to close on or before July 12, 2027, a date the filing calls the “End Date.” Bumble could owe Ithaca a $29 million termination fee in specified circumstances, and Ithaca would owe Bumble a $102 million parent termination fee in others, including a failure to close when required; Ithaca must deposit that fee into an escrow account by October 19, 2026, the filing says. Closing conditions listed in the 8-K include the expiry of the Hart-Scott-Rodino antitrust waiting period, other government approvals, and the mailing of the Schedule 14C information statement plus the passage of 20 days. Under an equity commitment letter dated October 12, Greenoaks Prime Radiant LP agreed to provide equity financing, and Wolfe Herd and Beehive Holdings III, LP, an entity affiliated with her, signed a rollover agreement with Ithaca. TradingView’s summary of the filing says the two agreed to roll their Class A shares into a new top company, taking equity instead of cash. Bumble says it will file its third-quarter Form 10-Q by November 9, 2026, but will skip an earnings release and conference call.
The sale follows what Reuters calls “steep declines in total paying users and revenue.” Reuters reports that total paying users fell 16.4% to 3.2 million in the second quarter and that quarterly revenue has declined for nearly two years; TechCrunch puts second-quarter 2026 revenue at $211 million, down 15.2% from a year earlier. The BBC says that since listing, Bumble has posted an annual pre-tax profit only once, in 2023. Reuters puts Bumble’s market capitalization at about $582 million as of Monday’s close, against a $14 billion valuation at its 2021 listing; the BBC describes a peak of more than $14bn after the Nasdaq float and says the share jump as deal news emerged lifted the valuation above $580m. Reuters reports the stock rose 57% to $5.96 in premarket trading on Tuesday, just under the $6.05 offer. Reuters says Bumble and larger rival Match Group, owner of Tinder and Hinge, have grappled with weak user engagement, particularly from younger users “tired of endless swiping.”
The BBC notes that Bumble built its brand on a feature that let only women start conversations with matches, and that it dropped that rule in August. In the release, Wolfe Herd says Ithaca “believes in our women-first mission.” Reuters reports that under Wolfe Herd, who returned as CEO in March 2025 after stepping down in 2023, Bumble has pushed AI-powered features, group dating and a redesigned member experience to revive growth. TechCrunch points to Plans, a feature announced in July built around real-world activities, and says Wolfe Herd has described work on a new way for users to interact that could eventually replace the swipe-based model. Liesel Sharabi, an Arizona State University associate professor who studies online dating, told Reuters: “There hasn't been a lot of innovation in the dating space for a while, and now that AI is here, the apps are going to be forced to innovate.”
Several pieces remain unreported or unread by this desk. Bloomberg’s Tuesday story by Liana Baker and Dana Wollman returned a bot-check page to this desk, so the desk cites Monday’s talks reports only through Reuters’ line that “Reuters and other media outlets reported on Monday” on them. The 8-K refers to the Greenoaks commitment only as equity financing “in the aggregate amount set forth therein,” without a figure in the filing text. The release does not name the title Wolfe Herd will hold after closing, and its risk language flags the timing of “any required governmental and regulatory approvals of the Transaction,” so the closing date remains open inside the July 2027 outer limit.
Correction · Oct 13, 2026, 5:00 PM PT: An earlier version of the key facts credited the Special Committee recommendation, the unanimous board approval, Whitney Wolfe Herd’s recusal and the Blackstone and Wolfe Herd written consent jointly to the release and the 8-K. The 8-K names the consent’s signers only as the “Principal Stockholders” and carries no recusal line, so this desk now credits the Blackstone and Wolfe Herd signers and her recusal to the release alone; the Special Committee recommendation, the unanimous approval and the stockholder written consent stay credited to the release and the 8-K.
